Negative Pledge
A clause in a bond agreement, which prevents a borrower from pledging assets to other lenders if by so doing bondholders' security would be diminished. A negative pledge prevents the borrower from issuing other bonds if they have the effect of eroding bondholders' claims on the borrower's assets.
